Issued (basic) shares count only what is outstanding today; fully diluted shares add everything that could become shares - granted options, the unallocated option pool, warrants, and convertibles like SAFEs. Because these will likely convert, the fully diluted count is the realistic basis for ownership, dilution, and per-share value.
